KVTS corporate practice offers legal advice to all types of companies, including public and private companies, limited liability companies and companies operating in regulated sectors (i.e. Central Bank of Brazil – BACEN, National Health Surveillance Agency – ANVISA), but also with a strong focus on the engineering, information technology and automobile sectors. Services include:

• Preparation and review of minutes of general meetings or shareholders’ meetings, social contracts, articles of association, contractual or statutory amendments, shareholders’ and partners’ agreements, internal administrative regulations and statues, powers of attorney and other routine corporate documents for the company (publicly traded and privately held);
• Participation in ordinary or extraordinary general meetings to assist clients;
• Constitution and structuring of societies, associations and foundations;
• Implementation of corporate governance rules;
• Corporate reorganizations and spin-offs, incorporation and drop-down operations;
• Registration of Foreign Investment or Financial Operations with the Central Bank of Brazil;
• Dissolution and liquidation of companies; and
• Due diligence on real estate properties and corporate transactions involving real estate.
